BrainNest specializes in advanced artificial intelligence solutions, primarily focusing on AI Engine Optimization (AEO) and Generative Engine Optimization (GEO). By engaging our services, you acknowledge the experimental, rapidly evolving, and probabilistic nature of generative AI technologies.
- Data Processing: Client data may be processed to tailor generative outputs, strategic analyses, and optimization campaigns. We do not use proprietary client data to train publicly accessible foundational models without explicit, written consent.
- Algorithm Volatility: BrainNest reserves the right to dynamically modify algorithms, methodologies, and optimization strategies to align with the continuous evolution of search engines, AI platforms, and industry standards.
- Output Accuracy: While we strive for the highest quality, AI-generated outputs may occasionally contain hallucinations or inaccuracies. Clients are responsible for final review and approval of any AI-assisted deliverables before public deployment.

The protection of intellectual property is paramount to our enterprise operations. This section outlines the ownership rights pertaining to proprietary models, client assets, and generated outputs.
BrainNest Property
BrainNest retains exclusive, undivided ownership of all underlying AI models, proprietary algorithms, software frameworks, dashboards, methodologies, and pre-existing agency assets utilized in delivering the services.
Client Property & Outputs
Upon full payment of applicable fees, clients receive a perpetual, non-exclusive, worldwide license to use, modify, and distribute the specific final outputs (e.g., optimized content, strategic reports) generated during the engagement. Clients retain all ownership rights to their pre-existing brand materials and data provided to BrainNest.

Enterprise clients must adhere to strict professional standards when utilizing our platforms and services. You agree not to use BrainNest services to:
- close Generate, optimize, or distribute content that is illegal, defamatory, highly deceptive, or infringes upon third-party intellectual property rights.
- close Attempt to reverse-engineer, decompile, or extract the underlying architecture of our proprietary AI models.
- close Provide false, misleading, or unauthorized data for processing within our systems.

To the maximum extent permitted by applicable law, BrainNest and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the services; (ii) any conduct or content of any third party on the services; or (iii) unauthorized access, use, or alteration of your transmissions or content.
In no event shall the aggregate liability of BrainNest exceed the greater of one hundred U.S. dollars (U.S. $100.00) or the amount you paid BrainNest, if any, in the past six months for the services giving rise to the claim.

We reserve the right to suspend or terminate your access to our services at our sole discretion, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the services will immediately cease. If you wish to terminate your enterprise agreement, you must provide written notice in accordance with the terms specified in your Master Services Agreement (MSA) or standard 30-day notice if no MSA is active.
